Where delivery of the Goods is effected by way of portion delivery, the Company shall be entitled to invoice the Applicant for pro data progress payments in respect thereof. 6.1 Unless otherwise agreed by the Company in writing, all Goods will be supplied on a cash prior delivery basis. (b) to enter the Applicant’s premises or the premises of any associated company or agent where the Goods are located) without liability for trespass or any resulting ravage and retake possession of the Goods and. If the Applicant does not return the Goods to the Company within 48 hours of receipt of the demand, the Company shall be entitled to enter upon the Applicant’s premises at any time to do all things necessary to recuperate the Goods. 7.5 The Company will not be probable in respect of any claims for parts damaged in transport, misused by the Applicant or its authorized parties or modified in any way without the approval of the Company. 8.1 The Applicant acknowledges and warrants to the Company that as at the date of entry into a contract to purchase the Goods, the Applicant is not insolvent nor has he committed any act of bankruptcy or, being a company, knows of no circumstances which would entitle a debenture holder or unsecured creditor to appoint a receiver to petition for winding up of the Applicant or exercise any other rights over or against the Applicant’s assets. (ii) withhold any further deliveries of Goods or performance of service needed under the contract. (iv) suspend ardor stop performance of any other contracts which the Company has with the Applicant. Invoice means an invoice sent by the Company to the Applicant for payment of the Goods supplied to the Applicant at the request of the Applicant.
